Extraordinary General Meeting (EGM)

An Extraordinary General Meeting (EGM) is called to discuss an issue or issues that require Shareholder approval. The issue is so urgent that it cannot wait until the next scheduled Annual General Meeting.

An Extraordinary General Meeting (EGM) of a Company’s Shareholders may be called by the Board of Directors at any time. If an EGM must be called, the circumstances surrounding the issue or issues at hand must be urgent. The discussion, the gaining of a consensus, and hopefully a decision cannot wait until the next scheduled Annual General Meeting of Shareholders. Four issues of such urgency requiring an EGM could be that the Company is the target of a Takeover Offer. The company needs to raise capital. A Director needs to be removed or the Company would like to make an acquisition. Under any of these scenarios, the Board of Directors must be prepared to discuss and guide Shareholders on what is the best outcome for Shareholders.
